-----------------------------------------------------------------

PART 1: NOTICE OF PRIVACY PRACTICES

THIS NOTICE DESCRIBES HOW MEDICAL INFORMATION ABOUT YOU MAY BE USED AND DISCLOSED AND HOW YOU CAN GET ACCESS TO THIS INFORMATION. PLEASE REVIEW IT CAREFULLY.

Effective Date: October 17, 2026

This Notice applies to the healthcare services provided by VIVAE FTL LLC d/b/a VIVAE Wellness at 805 N Federal Highway, Boca Raton, Florida 33432, including our physicians, nurse practitioners, nurses, and staff.

OUR DUTIES

We are required by law to maintain the privacy of your protected health information ("PHI"), to give you this Notice of our legal duties and privacy practices, to notify you if a breach of your unsecured PHI occurs, and to follow the terms of the Notice currently in effect.

HOW WE MAY USE AND DISCLOSE YOUR HEALTH INFORMATION

Treatment. We may use and disclose your PHI to provide, coordinate, or manage your care. For example, our provider may share your lab results with a nurse administering your treatment, send a prescription to a pharmacy, or send your sample to a clinical laboratory.

Payment. We may use and disclose your PHI to bill and collect payment for services, such as processing a payment or providing an itemized receipt you request for an HSA/FSA or insurance claim.

Healthcare Operations. We may use and disclose your PHI for our internal operations, such as quality review, staff training, licensing, accreditation, legal and accounting services, and business management.

Appointment Reminders and Health-Related Communications. We may contact you by phone, email, or text message to remind you of appointments, follow up on your care, remind you about refills, or tell you about treatment alternatives or health-related services we offer. These communications do not require your authorization, except as described under "Uses and Disclosures That Require Your Written Authorization" below.

Business Associates. We may share PHI with companies that perform services for us, such as our electronic health record, scheduling, laboratory, pharmacy, billing, messaging, and marketing vendors. They are required by contract to protect your information.

Individuals Involved in Your Care. Unless you object, we may share relevant PHI with a family member, friend, or other person you identify who is involved in your care or payment for your care, or in an emergency.

OTHER USES AND DISCLOSURES PERMITTED OR REQUIRED BY LAW

We may use or disclose your PHI without your written authorization in the following situations, as permitted or required by law:
- As required by federal, state, or local law.
- For public health activities, such as reporting diseases, adverse events, or product recalls to public health authorities or the FDA.
- To report suspected abuse, neglect, or domestic violence to appropriate authorities.
- For health oversight activities, such as audits, investigations, inspections, and licensure.
- In response to a court or administrative order, subpoena, or other lawful process.
- For law enforcement purposes, as permitted by law.
- To coroners, medical examiners, and funeral directors.
- For organ, eye, or tissue donation.
- For research, subject to legal privacy protections.
- To prevent or lessen a serious and imminent threat to health or safety.
- For specialized government functions, such as military, national security, or protective services.
- For workers' compensation or similar programs.

USES AND DISCLOSURES THAT REQUIRE YOUR WRITTEN AUTHORIZATION

We will obtain your written authorization before:
- Using or disclosing your PHI for marketing. Authorization is not required for face-to-face communications with you or for promotional gifts of nominal value. Communications about our own services or your treatment are not marketing unless we receive payment from a third party whose product or service is being described. Refill reminders and communications about a drug you are currently prescribed are not marketing, as long as any payment we receive for them is limited to the reasonable cost of sending them.
- Selling your PHI. We do not sell PHI.
- Using or disclosing psychotherapy notes, if any, except as permitted by law.
- Disclosing genetic test results to any third party, as required by Florida law (Section 760.40, Florida Statutes).
- Any other use or disclosure not described in this Notice.

You may revoke an authorization at any time in writing, except to the extent we have already relied on it.

SPECIAL PROTECTIONS

Some information, such as genetic test results, HIV/AIDS-related information, mental health information, and substance use disorder treatment records, may have additional protections under federal or Florida law. Where those laws are more protective than this Notice, we will follow them.

Substance Use Disorder Records. If we create or receive substance use disorder treatment records protected by federal law (42 CFR Part 2), those records, or testimony describing their content, will not be used or disclosed in any civil, criminal, administrative, or legislative proceeding against you unless you give written consent or a court issues an order after notice and an opportunity to be heard, as required by law. We will not use or disclose those records for fundraising.

YOUR RIGHTS REGARDING YOUR HEALTH INFORMATION

Right to Access. You may request to inspect or receive a copy of your medical and billing records, including an electronic copy, or ask us to send a copy directly to another person you designate. We may charge a reasonable, cost-based fee as permitted by law.

Right to Amend. If you believe information in your record is incorrect or incomplete, you may request in writing that we amend it. We may deny your request in certain circumstances and will explain why in writing.

Right to Request Restrictions. You may ask us to limit how we use or disclose your PHI. We are not required to agree, except that if you pay for a service in full out of pocket, you may ask us not to share information about that service with your health plan, and we will honor that request unless the law requires otherwise.

Right to Request Confidential Communications. You may ask us to contact you in a particular way or at a particular location. We will not ask you the reason for your request, and we will accommodate reasonable requests.

Right to a Paper Copy. You may request a paper copy of this Notice at any time, even if you agreed to receive it electronically. Copies are available at our clinic.

Right to Choose Someone to Act for You. If you have given someone medical power of attorney or someone is your legal guardian, that person can exercise your rights.

Right to Be Notified of a Breach. You will be notified if a breach occurs that may have compromised the privacy or security of your PHI.

To exercise any of these rights, please contact us using the information below.

CHANGES TO THIS NOTICE

We also automatically collect certain information when you visit our website, such as your IP address, browser type, device type, pages viewed, and general location.

HOW WE USE YOUR INFORMATION

We use your information to schedule and provide services, process payments, respond to your questions, send appointment reminders and service updates, improve our website, and, with your consent where required, send you promotional communications.

HOW WE SHARE YOUR INFORMATION

Service Providers. We share information with service providers who help us operate our business, such as scheduling, payment processing, website hosting, marketing, and communication providers. These providers are permitted to use information only to perform services for us.

Advertising and Analytics Partners. Google, Meta, Microsoft, and other advertising and analytics partners may collect information directly from your browser or device when you visit our website, as described under "Analytics and Advertising" below. These partners use that information in accordance with their own privacy policies, which may include using it to provide, measure, and improve their advertising services.

Other Disclosures. We may also disclose information when required by law or to protect our rights, and in connection with a business transfer such as a merger or sale. We do not sell your personal information.

ANALYTICS AND ADVERTISING

We work with a marketing agency and use analytics and advertising tools, including Google (such as Google Ads and Google Analytics), Meta (Facebook and Instagram), Microsoft Advertising (Bing), and other advertising networks used by our marketing agency, to understand how visitors use our website and to measure the results of our ads. These tools may use cookies, pixels, and similar technologies to collect information such as pages viewed, links clicked, device type, IP address, and general location. Our marketing agency may also use call-tracking phone numbers to measure calls from our ads. Calls to these numbers may be recorded, and you will be notified at the start of the call. Our marketing agency may also receive information you submit through forms on our website and recordings of calls made to our tracking phone numbers, which it uses to measure the results of our advertising on our behalf and is required by contract to protect.

Our website includes a chat feature provided by a third-party service. Please do not share medical information through website chat or general contact forms. If you have questions about your health or treatment, please call us or speak with your provider during your visit.

We do not sell your health information. We do not use your medical records, appointment details, treatments, or test results for advertising, and we do not provide them to advertising platforms. Our online booking and patient intake forms are hosted on a separate platform operated by our scheduling provider.

You can limit personalized advertising through Google Ad Settings (adssettings.google.com), Meta Ad Preferences (facebook.com/adpreferences), and Microsoft Ad Settings (account.microsoft.com/privacy/ad-settings), and you can opt out of Google Analytics at tools.google.com/dlpage/gaoptout.

TEXT MESSAGES

If you agree to receive text messages, we may send appointment reminders, service updates, and, with your prior express written consent, promotional messages. Message and data rates may apply. Reply STOP to opt out at any time or HELP for help. Consent to promotional texts is not a condition of purchase. We do not share your mobile number or text messaging consent with third parties for their marketing purposes. Your consent to receive promotional messages is separate from, and does not replace, the written authorization described in Part 1 that is required before we use your health information for marketing.

COOKIES AND YOUR CHOICES

You can set your browser to refuse or delete cookies, though some website features may not work properly. Where required, we honor recognized opt-out signals such as Global Privacy Control.

YOUR RIGHTS

Subject to applicable law, you may request access to, correction of, or deletion of your personal information, or opt out of promotional communications, by contacting us. Rights regarding your medical records are described in Part 1. We may need to verify your identity before responding. We may deny or limit a request where permitted or required by law, for example where we must retain information to meet legal, medical record, billing, or security requirements. If we cannot fully honor a request, we will tell you why.

SECURITY AND RETENTION

We use reasonable administrative, technical, and physical safeguards to protect your information. No method of transmission or storage is completely secure. We retain information as long as needed to provide services and as required by law, including medical record retention requirements under Florida law. If a data breach affects your personal information, we will notify you as required by law.
